Please read these Terms carefully before using Gatherdly. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1Who we are and definitions

“Gatherdly”, “we”, “us”, and “our” refer to the operator of the Gatherdly platform. “Service” means the Gatherdly application and websites. “You” means the individual or organization using the Service. “Content” means data, text, contacts, and materials you submit or generate in the Service.

2Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using Gatherdly you represent that you meet these requirements and that the information you provide is accurate.

3Your account

You are responsible for safeguarding your login credentials and for all activity under your account. Provide accurate, complete, and current information, and notify us immediately of any unauthorized use or security breach. We may suspend or terminate accounts that violate these Terms.

4Plans, credits, and billing

• Paid plans and credit top-ups are billed through our payment processor at the prices shown at purchase.
• Credits are consumed as you use metered features (such as sending messages or enrichment). Credit prices and consumption rates may change with notice.
• Unless required by law, fees and one-time credit purchases are non-refundable.
• You authorize us to charge your selected payment method for the plan or credits you purchase.

5Acceptable use

You agree not to use the Service to:

• Break any law, regulation, or third-party right.
• Send spam, deceptive, harassing, fraudulent, or unlawful messages.
• Upload malware, attempt to breach security, or disrupt the Service.
• Scrape, resell, or misuse data in violation of any applicable terms or law.
• Impersonate others or misrepresent your identity or affiliation.

6Your outreach responsibilities

You represent that you have a lawful basis to process the contact data you use and to send messages to it, that you will honor opt-out requests promptly, and that you will include any legally required identification and unsubscribe information. You agree to indemnify us for claims arising from your outreach or your Content.

7AI features and no guarantee of results

The Service uses AI to draft messages, enrich data, and make suggestions. AI output may be inaccurate, incomplete, or unsuitable, and you must review it before use. We do not guarantee any particular results, responses, leads, deliverability, or revenue from using the Service.

8Intellectual property

The Service, including its software, design, and branding, is owned by Gatherdly and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You retain ownership of your Content and grant us a license to host and process it solely to provide the Service.

9Third-party services

The Service integrates with third-party providers (for example payment, email/SMS delivery, lead data, and AI services). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

10Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or others. On termination, your right to use the Service ends; sections that by nature should survive (such as payment, disclaimers, and limitation of liability) will survive.

11Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12Limitation of liability

To the maximum extent permitted by law, Gatherdly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

13Indemnification

You agree to indemnify and hold harmless Gatherdly from claims, losses, and expenses (including reasonable legal fees) arising from your Content, your outreach, your use of the Service, or your violation of these Terms or any law.

14Governing law

These Terms are governed by the laws of the United States and the state in which Gatherdly operates, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located there, unless applicable law requires otherwise.

15SMS messaging program

Program name: Gatherdly. If you provide your mobile number and opt in (for example through our demo-request form at gatherdly.app), you may receive recurring text messages from Gatherdly related to your request, scheduling, confirmations, and product updates. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out, or HELP for help. Carriers are not liable for delayed or undelivered messages. For support, email support@gatherdly.app. See our Privacy Policy for how we handle your information; we do not share mobile opt-in data or consent with third parties for their own marketing.

16Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Continued use of the Service after changes take effect means you accept the revised Terms.
